RESOLUTION #1-06
WHEREAS, due to the retirement of Chief Patricia Cameron there is a vacancy
in the position of Chief of Police of the Borough of Mendham, and
WHEREAS, the Public Safety Committee of the Borough Council has
recommended that Lt. John Taylor be appointed to fill this position, and
WHEREAS, the Mayor & Borough Council desire to fill the position of Chief of
Police of the Borough of Mendham and accept the recommendation.


NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the
Borough of Mendham, County of Morris, and State of New Jersey as follows:
1. That John Taylor is hereby appointed Chief of Police for the Borough of Mendham.
2. The Salary for the Chief of Police for the year 2006 shall be as follows:

RESOLUTION #2-06




WHEREAS, Salary Ordinance #21-05 has been adopted, and
amended, by the Mayor and Council of the Borough of Mendham;





NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council
of the Borough of Mendham, County of Morris, and State of New Jersey, that the
following salary is established for the year 2006 unless otherwise noted:

RESOLUTION 3-06


TEMPORARY GENERAL APPROPRIATIONS BUDGET 2006




WHEREAS, R.S. 40A:4-19 as amended provides that where any contracts or
commitments are to be made prior to the final adoption of the 2006 Budget, temporary
appropriations should be made for the purposes and amounts required, in the manner and
the time therein provided, and


WHEREAS, the date of this resolution is within the first thirty days of January
2006, and


WHEREAS, the total appropriations in the 2005 Budget, less appropriations
made for capital improvement fund, debt service and relief of the poor (Public Assistance) is
the sum of $4,483,805.00; and


WHEREAS, 26.25% of the total appropriations in the 2005 budget is the sum
of $1,176,999.00;


NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the
Borough of Mendham, Morris County, New Jersey, that the following temporary
appropriations be made and that a certified copy of this Resolution be transmitted to the

RESOLUTION #5-06

INTEREST RATE AND PENALTIES ON
DELINQUENT TAXES AND SEWER FEES

WHEREAS, N.J.S.A. 54:4-67 et seq., permits the governing body to fix the rate
of interest to be charged for the nonpayment of taxes, assessments, or other municipal charges.


NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the
Borough of Mendham, County of Morris, and State of New Jersey that property taxes shall be
due and payable quarterly on February 1st, May 1st, August 1st, and November 1st (unless
otherwise authorized by the Council) of each year with a ten-day grace period, after which
dates, if unpaid, shall become delinquent, with interest charged as set forth below and reverting
back to the due date on any quarterly installment of taxes; and

BE IT FURTHER RESOLVED, by the Mayor and Council of the Borough of
Mendham, County of Morris, and State of New Jersey, that the rate of interest on unpaid taxes
shall be eight percent (8%) per annum on the first One Thousand Five Hundred ($1,500.00)
Dollars of delinquency and 18 percent (18%) per annum on any amount of delinquency in
excess of One Thousand Five Hundred ($1,500.00) Dollars to be calculated from the date the
tax was payable until the date of actual payment; and

BE IT FURTHER RESOLVED, that the rate of interest on unpaid sewer bills
shall be eight percent (8%) per annum to be calculated from the date the bill was payable until
the date of actual payment, provided that no interest shall be charged if payment of any bill is
made within thirty (30) calendar days following the billing date; and


BE IT FURTHER RESOLVED, that in addition to the interest provided
above, on all delinquencies of taxes and municipal charges in excess of Ten Thousand
($10,000.00) Dollars and which are not paid prior to the end of the fiscal year, the Tax
Collector shall also collect a penalty of six percent (6%) of the amount of the
delinquency in addition to the interest herein above provided; and


BE IT FURTHER RESOLVED, that the Municipal Clerk provide a certified copy of
this resolution to the Tax Collector and Borough Auditor.

RESOLUTION #6-06
AUTHORIZING THE TAX COLLECTOR TO HOLD A TAX LIEN SALE




WHEREAS, the Tax Collector is responsible for property tax collection; and


WHEREAS, Chapter 99, P.L. of 1997 known as N.J.S.A. 54:5-19 directs the
Tax Collector to hold a yearly tax sale; and


WHEREAS, Chapter 99, P.L. 1997 known as N.J.S.A. 54:5-26 permits a
maximum fee of $25.00 each for two mailings of notice of tax sale to property owners within four
weeks preceding the date of the tax sale.


NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the
Borough of Mendham, County of Morris, and State of New Jersey that the Tax Collector is
hereby authorized to have a yearly tax sale pursuant to State Statute and to charge $25.00 for
each of two tax sale notice mailings.

DESIGNATION OF DEPOSITORIES FOR THE BOROUGH FUNDS FOR 2006



WHEREAS, R.S. 40:5-4 provides that the governing body of every municipality shal
designate the depository or depositories wherein all public monies and other funds of such
municipality shall be kept;


NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the
Borough of Mendham, Morris County, New Jersey, that the Collector and Chief Financial Officer
shall cause all monies of the Borough and other funds in their custody to be deposited in the

CANCELING OVERPAYMENT OR UNDERPAYMENT OF TAXES
AND SEWER FEES IN THE AMOUNT OF $10.00 OR UNDER



WHEREAS, N.J.S.A. 40A:5-17.1 provides that a municipality may authorize the
processing of tax refunds and sewer fee refunds of less than Ten ($10.00) Dollars and the
cancellation of tax delinquencies and sewer fee delinquencies of less than Ten ($10.00) Dollars.


NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the
Borough of Mendham, County of Morris, and State of New Jersey that the Tax Collector is
hereby authorized to process, without any further action on the part of the Governing Body, any
property tax refund of less than Ten ($10.00) Dollars; and


BE IT FURTHER RESOLVED, that the Sewer Clerk is hereby authorized to
process, without any further action on the part of the Governing Body, any sewer fee refund of
less than Ten ($10.00) Dollars; and


BE IT FURTHER RESOLVED, that the Tax Collector is hereby authorized to
process, without further action on the part of the Governing Body, the cancellation of any
property tax delinquency of less than Ten ($10.00) Dollars; and

BE IT FURTHER RESOLVED, that the Sewer Clerk is hereby authorized to
process, without further action on the part of the Governing Body, the cancellation of any sewer
fee delinquency of less than Ten ($10.00) Dollars; and


BE IT FURTHER RESOLVED, that a Certified Copy of this Resolution be provided
by the Municipal Clerk to the Tax Collector, Sewer Clerk and the Chief Financial Officer.

WHEREAS, Chapter 231 of the Public Laws of the State of New Jersey for
1975, known as and hereinafter designated as the "Open Public Meetings Act" requires
notification of meetings of public bodies, as herein defined, in the manner therein set forth.

FLETCHER LIBRARY TRUST



WHEREAS, Andrew Fletcher indicated his intention to make a gift to the Mendham
Free Public Library of certain personal mementos of his life and his association with the Borough
of Mendham, and to make an additional gift of securities having a value of approximately
$75,000.00 to establish a maintenance fund to preserve the col ection; and


WHEREAS, Andrew Fletcher indicated his further wish that in the event the
Mendham Free Public Library should for any reason be unable in the future to continue to
maintain and preserve the collection in the Mendham area, then the collection and the
maintenance fund balance should be transferred to the Borough of Mendham to be held for the
same or similar purposes; and


WHEREAS, the Mayor and Council of the Borough of Mendham take cognizance of
the significant role played by Andrew Fletcher in the development of Mendham Borough and his
many contributions to civic improvement and, therefore, desires to perpetuate and preserve the
value of his gift.


NOW, THEREFORE, BE IT RESOLVED that the Mayor and Council of the
Borough of Mendham hereby express their purpose and intent to accept the mementos and
maintenance fund for the purpose and under the circumstances hereinabove expressed; and


BE IT FURTHER RESOLVED that the Mayor and Council of the Borough of
Mendham do hereby urge that this Resolution of intent be renewed annually at the Organization
Meeting of the Borough Council.

ANDREW FLETCHER THREE FIELDS MEMORIAL TRUST


WHEREAS, during his lifetime Andrew Fletcher made a gift, to the people of the
Borough of Mendham, of his real estate known as "Three Fields" until such time as the Mayor and
Council, in their discretion, might deem it advisable to sell it for the benefit of the people of the
Borough; and

WHEREAS, Andrew Fletcher indicated his further wish that, in the event the Mayor
and Council should sell "Three Fields", the proceeds of the sale should be used for such
municipal purposes as would best serve the long term needs of the people of the Borough of
Mendham, and that his name might thereby be commemorated; and

WHEREAS, the Mayor and Council of the Borough of Mendham, in exercise of the
trust placed in them by Andrew Fletcher, did deem it advisable and did sell "Three Fields" on May
15, 1982, and did establish with the proceeds of that sale a fund known as the "Andrew Fletcher
Three Fields Memorial Trust"; and

WHEREAS, the Mayor and Council of the Borough of Mendham take cognizance of
the significant role played by Andrew Fletcher in the development of Mendham Borough and his
many contributions to civic improvement and therefore, desire to perpetuate and preserve the
value of his gift.

NOW, THEREFORE, BE IT RESOLVED that the Mayor and Council of the
Borough of Mendham hereby express their purpose and intent to utilize the "Andrew Fletcher

WHEREAS, the Borough of Mendham has a need to acquire professional Municipal
Attorney services without competitive bidding pursuant to the provisions of N.J.S.A. 19:44A- 20.5;
and,

WHEREAS, the borough administrator has determined and certified in writing that the
value of the services will exceed $17,500.; and

WHEREAS, the anticipated term of this contract is 1 year; and

WHEREAS, John P. Jansen of Jansen and DeBona, LLC has submitted a proposal
dated November 11, 2005 indicating that they will provide the Municipal Attorney services in an
amount projected to exceed $17,500.; and

WHEREAS, John P. Jansen of Jansen and DeBona, LLC has not yet completed and
submitted a Business Entity Disclosure Certification which certifies that John P. Jansen and
Jansen and DeBona have not made any reportable contributions to a political or candidate
committee in the Borough of Mendham in the previous one year, and that the contract will
prohibit Jansen and DeBona, LLC from making any reportable contributions through the term of
the contract; and

WHEREAS, the Mayor and the Borough Council of the Borough of Mendham desire to
award the contract subject to the receipt of an appropriate Business Entity Disclosure
Certification and to make this resolution effective upon the receipt of an appropriate Business
Entity Disclosure Certification; and

elective public office of the Borough of Mendham when the contract is awarded, or to any
candidate committee of any person serving in an elective public office of the Borough of
Mendham when the contract is awarded;


4. The Business Entity Disclosure Certification, when received, and the
Determination of Value shall be placed on file with this resolution.


5. This Resolution is subject to the Chief Financial Officer certifying to the
availability of funds.


6. This Resolution shall take effect as provided herein.

RESOLUTION #21-06

APPOINTMENT: RISK MANAGEMENT CONSULTANT



WHEREAS, it is necessary to have the services of a professional Risk Management
Consultant as required in the by-laws of the Morris County Municipal Joint Insurance Fund; and


WHEREAS, the Local Public Contracts Law, N.J.S.A. 40A:11-5(1)(m), specifically
exempts the purchase of insurance coverage and insurance consultant services from competitive
bidding, when the contract is awarded in accordance with the requirements for extraordinary
unspecifiable services; and


WHEREAS, it is anticipated that the fee for the consultant's annual services is under
$17,500; and


WHEREAS, the Borough Council has determined that such services are specialized
in nature and cannot reasonably be described by written specifications; and
WHEREAS, this Resolution is subject to the Chief Financial Officer certifying to the
availability of funds.



NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council of the
Borough of Mendham, County of Morris, and State of New Jersey, as follows:

1. The Mayor, Borough Clerk and any and all other appropriate municipal officials are
hereby authorized and directed to enter into a contact with Dave Quinn of Brown & Brown, 211
Route 31 North, Washington, New Jersey 07882-1531 for professional risk management
consulting services for the year 2006.

2. This contract is awarded without competitive bidding in accordance with the specific
exemption for such services found in N.J.S.A. 40A:11-5(1)(m) of the Local Public Contracts Law,
and because the services to be provided are extremely specialized in nature and require a degree
of expertise, training and experience in the insurance industry. Additionally, the services to be
provided are by their nature qualitative and thus not susceptible of being described by written
specifications.

3. A notice of this action shall be printed once in the Observer Tribune as required by law.

RESOLUTION # 22-06



WHEREAS, the Borough of Mendham requires the services of a Small
Animal Control Officer; and


WHEREAS, the Borough has received a proposal from St. Hubert's Giralda to
perform these services at a total cost of $10,462.00 plus nighttime call outs at a rate of
$100.00 each; and


WHEREAS, St. Hubert's Giralda has satisfactorily performed these services
for the Borough of Mendham since 1988; and


WHEREAS, this contract may be awarded without formal bidding because the
annual contract price is less than the total sum established pursuant to N.J.S. 40A:11-3;
and

NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the
Borough of Mendham, in the County of Morris, and State of New Jersey, that the Mayor and
Clerk are authorized to execute an agreement, in a form acceptable to the Borough
Attorney, with St. Hubert's Giralda to provide Small Animal Control Services to the Borough
of Mendham for the period January 1, 2006 to December 31, 2006 at a total cost of
$10,462.00 plus nighttime call outs at a rate of $100.00 each, not to exceed $11,000.00
including the cost of overnight pickups.

This Resolution shall take effect immediately upon the Chief Financial Officer certifying to
the availability of funds.

BE IT RESOLVED by the Mayor and Council of the Borough of Mendham,
County of Morris, and State of New Jersey, that, pursuant to N.J.A.C. 17:27-3.5, the Borough
Council hereby appoints Jeanne Pugsley as the Public Agency Compliance Officer, to act as the
liaison for the Borough to the Department of the Treasury, Division of Contract Compliance and
Equal Opportunity in Public Contract.

RESOLUTION #24-06

APPOINTING TAX COLLECTOR AND GRANTING TENURE
WHEREAS, the Mendham Borough Council did appoint Rosalie Lauerman Tax
Collector by Resolution #160-01 dated September 17, 2001 following the resignation of Mary
Hulse, who was tenured in the position; and

WHEREAS, the term of office for a Collector is four years, commencing January 1 next
following the appointment; and

WHEREAS, in this case, the four year term commenced January 1, 2002 and expires
December 31, 2005; and

WHEREAS, the Mendham Borough Council confirmed the appointment of Rosalie
Lauerman as Tax Collector for the term of January 1, 2002 to December 31, 2005 by Resolution
No. 139-03 dated August 4, 2003; and

WHEREAS, the Mendham Borough Council wishes to reappoint Rosalie Lauerman as
Tax Collector commencing January 1, 2006; and

WHEREAS, the Mendham Borough Council wishes to recognize that this
reappointment grants Rosalie Lauerman tenure as Tax Collector pursuant to N.J.S.A. 40A:9-
145.8.

NOW, THEREFORE, BE IT RESOLVED, by the Mayor and Council of the Borough
of Mendham, County of Morris, and State of New Jersey that Rosalie Lauerman be reappointed
Tax Collector of the Borough of Mendham with tenure commencing January 1, 2006.
